Terms of Service

Cortya ("Cortya," "we," "us," or "our") provides these services. These Terms are an agreement between you and us. By creating an account or using Cortya, you agree to them. If you use Cortya on behalf of an organization, you represent that you are authorized to bind that organization.

The service

Cortya is a subscription software service that lets you run agent teams — named, learning agents that watch your systems, triage what matters, coordinate with one another, and take actions on your behalf, using your own keys and (for regulated workloads) inside your own environment. Consequential actions are gated for human approval by default. Cortya does not access your PHI or other sensitive data or systems; your agents act on the keys and permissions you grant.

Your account

You sign in with your email address using a one-time code or link. Keep your email secure and don't share sign-in links; you are responsible for activity under your account. We may suspend or close accounts that violate these Terms.

Your credentials (BYOK)

To run your agents, Cortya uses the API credentials you connect — your model key and keys for the tools each agent works with (bring-your-own-key). By connecting a credential, you authorize us to use it solely to operate the agents you configure, on your behalf. Specifically:

• We use each credential only to perform the operations your agents are configured to run — within the scopes and permissions you grant, and with consequential actions gated for your approval.
• We do not sell, share, sublicense, or resell your credentials or your data, and we do not use them to serve any other customer.
• You confirm you are authorized to provide each credential, and you may remove or rotate it at any time from your account or in your provider account. Removal stops all further access.

Acceptable use

• Provide only keys and access you are authorized to give.
• Don't use the service for unlawful, infringing, or harmful purposes.
• Don't probe, interfere with, overload, reverse-engineer, or attempt to gain unauthorized access to the service or other tenants' data.
• Don't resell or provide the service to third parties except as expressly permitted in writing.

Subscriptions, fees, and billing

Cortya is offered on paid subscription plans billed through Stripe. Prices, tiers, and billing intervals are shown at checkout; by subscribing you authorize recurring charges to your payment method until you cancel. Taxes may apply. We may change prices on renewal with reasonable notice.

Cancellation and refunds

You may cancel at any time; cancellation takes effect at the end of the current billing period and you retain access until then. Refund eligibility is described in our Refund & Cancellation Policy.

Data and privacy

What we store, how long, and with which sub-processors is described in our Privacy Policy. You retain all rights to your data; you grant us a limited license to process it solely to operate the service for you.

Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, express or implied, to the maximum extent permitted by law. Cortya's agents and their outputs are tools operating under your configuration and approvals; you are responsible for the actions you authorize and the decisions you make based on them.

Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, and our total liability for any claim relating to the service is limited to the amounts you paid us in the three months before the event giving rise to the claim.

Termination

You may stop using the service and cancel at any time. We may suspend or terminate access for violation of these Terms. On termination we stop operating your agents and delete or revoke stored credentials as described on our Privacy and Security pages. Sections that by their nature should survive (data rights, disclaimers, liability limits) survive termination.

Changes

We may update these Terms from time to time. If we make material changes we will post the updated Terms here with a new date. Continued use after changes take effect means you accept them.

Governing law

These Terms are governed by the laws of the United States and the state in which we are organized, without regard to conflict-of-law rules.
